1. Introduction
Welcome to Niona AI Sales Assistant. By accessing or using our service, you agree to be bound by these Terms & Conditions. These terms apply to all visitors, users, and others who access or use the Service.
Please read these Terms carefully before using our Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.
2. AI Service Disclaimer
Niona AI is an artificial intelligence-powered assistant. By using this Service, you acknowledge and agree that:
- No Guarantee of Accuracy: AI-generated responses may not be 100% accurate, complete, or up-to-date. You should verify all information independently before making business decisions.
- Not Professional Advice: The AI assistant does not provide legal, financial, medical, or other professional advice. It is not a substitute for professional consultation.
- User Responsibility: You are solely responsible for how you use AI-generated content and any actions taken based on AI recommendations.
- Data Input Responsibility: You are fully responsible for the accuracy and legality of all data you input into the Service. Any errors, omissions, or consequences arising from incorrect or misleading input data are your sole responsibility.
Voice Processing
Our Service uses voice recognition and voice synthesis technologies. You acknowledge that:
- Speech Recognition Errors: Voice-to-text conversion may produce inaccurate transcriptions. We are not responsible for errors caused by misrecognition of speech, accents, background noise, or audio quality issues.
- Voice Synthesis Limitations: Text-to-speech output may not perfectly convey intended tone, emphasis, or pronunciation. The synthesized voice does not represent human judgment or opinion.
- No Liability for Voice Errors: Any actions taken based on misrecognized voice commands or misinterpreted audio responses are your sole responsibility.
Third-Party CRM & Accounting Data
When you connect third-party CRM or accounting services (e.g., HubSpot, Salesforce, QuickBooks):
- Data Accuracy: We retrieve data from your connected CRM or accounting platform as-is. We do not verify, validate, or guarantee the accuracy of data stored in your connected accounts.
- Your Data, Your Responsibility: You are solely responsible for the accuracy, completeness, and legality of data in your connected CRM and accounting accounts.
- Sync Issues: We are not responsible for data discrepancies, sync delays, or errors arising from third-party API limitations or changes.
- Sales Data (Salesforce): When connected to Salesforce, the Service may read and create leads, contacts, accounts, opportunities, cases, tasks, events, notes, and quotes. You are responsible for verifying the accuracy of all sales pipeline data and CRM records.
- Financial & Accounting Data (QuickBooks): When connected to QuickBooks, the Service may read, create, update, send, and void financial records including customers, vendors, invoices, bills, payments, estimates, and items. You are solely responsible for verifying the accuracy of all financial data, invoices, and payment records before and after AI-assisted operations.
Niona AI and its operators shall not be held liable for any damages, losses, or consequences resulting from reliance on AI-generated content, voice processing errors, third-party data inaccuracies, or financial data processed through connected accounting platforms.
3. Use of Service
You agree to use the service only for lawful purposes and in accordance with these Terms. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring your use complies with applicable laws and regulations
- Not attempting to gain unauthorized access to any part of the Service
You must not use the Service in any way that causes, or may cause, damage to the Service or impairment of the availability or accessibility of the Service.
4. Organization Accounts & Team Members
If you create or join an organization account:
- Account Owner Responsibility: The organization owner (Primary Owner) is responsible for all activities within the organization, including actions taken by invited team members.
- Member Actions: You are responsible for ensuring that all team members comply with these Terms. Violations by any member may result in termination of the entire organization account.
- Access Management: You are responsible for managing user access, permissions, and promptly removing access for departed team members.
- Shared Data: Data created by any organization member is accessible to other members based on their permission level. You are responsible for managing appropriate access controls.
- Billing Responsibility: The organization owner is solely responsible for all subscription fees, regardless of which team member incurred usage.
5. Data Privacy & Security
We respect your privacy and protect your data in accordance with our Privacy Policy. Key points include:
- Your data is stored securely using enterprise-grade encryption (AES-256)
- We do not share your personal data with third parties without your explicit consent, except as required by law
- All data transmission is protected with TLS 1.3 encryption
- All passwords are securely hashed with bcrypt
6. User Data Ownership & AI Training
Your data belongs to you. Important points regarding data ownership:
- Your Data, Your Property: All data you upload or create within the Service remains your intellectual property.
- No AI Training: We do NOT use your data to train our AI models. Your business data is never used for machine learning purposes.
- Data Processing: Your data is only processed to provide you with the Service features you request.
- Third-Party Integrations: When you connect third-party services (e.g., HubSpot, Salesforce, QuickBooks), data shared with those services is subject to their respective privacy policies.
7. Intellectual Property
The service and its original content, features, and functionality are owned by Niona AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not:
- Copy, modify, or distribute any part of the Service without permission
- Reverse engineer or attempt to extract the source code of the Service
- Use our trademarks or branding without written consent
- Create derivative works based on our Service
8. Subscription & Billing
Some parts of the Service are billed on a subscription basis:
- You will be billed in advance on a recurring and periodic basis (monthly or annually)
- Billing cycles are based on the type of subscription plan you select
- You may cancel your subscription at any time through your account settings
- No Refunds: All payments are non-refundable. Upon cancellation, you will retain access to the Service until the end of your current billing period, but no refunds will be issued for unused time.
We reserve the right to modify subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing period.
9. Service Availability
We strive to provide reliable service, however:
- No Uptime Guarantee: We do not guarantee any specific uptime percentage or service level agreement (SLA). The Service is provided on a "best effort" basis.
- Scheduled Maintenance: We may perform maintenance at any time, with or without prior notice, which may result in temporary service interruptions.
- Service Interruptions: We are not liable for service interruptions, downtime, or data loss due to maintenance, technical issues, or circumstances beyond our control.
- Third-Party Dependencies: Our Service relies on third-party providers (cloud hosting, AI services, CRM platforms). We are not responsible for outages or issues caused by these providers.
- No Performance Guarantees: Response times, processing speeds, and feature availability may vary and are not guaranteed.
10. API and Integration Usage
When using our API or third-party integrations:
- You must comply with the terms of any connected third-party services (e.g., HubSpot, Salesforce, QuickBooks)
- API usage is subject to rate limits based on your subscription plan
- You are responsible for securing your API keys and access tokens
- We are not responsible for issues arising from third-party service changes
- Financial Operations: When using QuickBooks integration, AI-assisted financial operations such as invoice creation, payment recording, and bill management are executed at your sole direction. You are responsible for reviewing and verifying all financial transactions before and after they are processed.
- OAuth Authorizations: By connecting third-party platforms, you authorize Niona AI to access, read, create, and modify data within those platforms on your behalf. You may revoke this authorization at any time through your account settings.
11. Prohibited Activities
You agree NOT to use the Service for any of the following prohibited activities:
- Spam & Unsolicited Communications: Sending bulk unsolicited messages, spam, or promotional content through the Service.
- Illegal Activities: Any activity that violates applicable local, national, or international laws or regulations.
- Malicious Use: Uploading viruses, malware, or any malicious code; attempting to hack, disrupt, or compromise the Service.
- Data Scraping: Automated scraping, data mining, or extraction of data from the Service without authorization.
- Impersonation: Misrepresenting your identity or affiliation with any person or organization.
- Harassment: Using the Service to harass, abuse, or harm others.
- Fraudulent Data: Inputting false, misleading, or fraudulent information into the Service.
- Unauthorized Access: Attempting to access accounts, systems, or data that you are not authorized to access.
- Reselling: Reselling or redistributing the Service without written permission.
Violation of these terms may result in immediate termination of your account without refund.
12. Indemnification
You agree to indemnify, defend, and hold harmless Niona AI, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms & Conditions
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
- Any content, data, or information you submit, upload, or transmit through the Service
- Any actions taken by team members within your organization account
- Your negligence or willful misconduct
This indemnification obligation will survive the termination of your account and these Terms.
13. Limitation of Liability
To the maximum extent permitted by law, Niona AI shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any damages resulting from unauthorized access to your account
- Service interruptions or data loss beyond our reasonable control
- Errors or inaccuracies in AI-generated content, voice transcriptions, or voice synthesis
- Actions taken based on data retrieved from third-party services (e.g., HubSpot, Salesforce, QuickBooks)
- Failures, errors, or changes in third-party AI services, voice processing services, CRM platforms, or accounting platforms
- Any decisions made based on information provided by the Service
- Financial losses, tax implications, or accounting errors arising from inaccurate data processed through QuickBooks or other accounting integrations
- Sales pipeline inaccuracies, lost deals, or revenue forecast errors arising from Salesforce or other CRM data
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
USE AT YOUR OWN RISK: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination:
- Your right to use the Service will immediately cease
- We may delete your data at our discretion
- Provisions that should survive termination will remain in effect
15. Financial Data Disclaimer
Niona AI integrates with accounting and financial platforms such as QuickBooks. By using these integrations, you acknowledge and agree that:
- Not Financial Advice: Niona AI is NOT an accounting, tax, bookkeeping, or financial advisory service. The Service does not provide professional financial, tax, or accounting guidance.
- User-Directed Operations: All financial operations (invoice creation, payment recording, bill management, estimate handling) performed through Niona AI are executed at your sole direction and responsibility.
- Verification Required: You are responsible for verifying the accuracy of all financial data, calculations, amounts, tax rates, and accounting entries before and after AI-assisted operations are performed.
- No Tax or Compliance Responsibility: Niona AI is not liable for any tax reporting consequences, regulatory compliance issues, or financial reporting inaccuracies resulting from the use of our Service.
- Professional Consultation: You should always consult a qualified accountant, tax professional, or financial advisor for accounting and financial decisions. The Service is a productivity tool, not a replacement for professional financial guidance.
- Currency and Tax Calculations: While the Service supports multi-currency and tax operations through connected accounting platforms, we do not guarantee the accuracy of exchange rates, tax calculations, or regulatory compliance of generated financial documents.
16. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.
17. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
